Terms of Use
The agreement between you and Chitram for using the platform.
1.1 Acceptance of Terms
These Terms of Use constitute a legally binding agreement between you and Chitram.
By accessing, registering for, browsing or using Chitram, you confirm that you have read, understood and agreed to these Terms, our Privacy Policy, Community Guidelines and any additional terms applicable to a specific service.
If you do not agree, you must not use the Platform.
1.2 About Chitram
Chitram is a technology platform designed for the cinema and entertainment ecosystem.
Depending on the services available from time to time, Chitram may enable users to:
- create film and entertainment projects;
- publish project information;
- discover stories and films;
- follow projects;
- express audience interest;
- indicate non-binding backing interest;
- discover professional opportunities;
- apply for roles;
- connect with writers, directors, producers, actors and film professionals;
- access learning products;
- request access to pitch materials;
- create investor-interest profiles;
- express non-binding investment interest;
- access private project deal rooms where authorised; and
- use AI-assisted creator tools.
Chitram is principally a technology, discovery, networking, education and project-development platform.
1.3 No Investment Intermediary Relationship
Unless expressly stated otherwise through a separate legally authorised and regulated service, Chitram:
- is not a stock exchange;
- is not an investment exchange;
- is not a securities broker;
- is not a merchant banker;
- is not an investment adviser;
- is not a portfolio manager;
- is not an Alternative Investment Fund;
- is not a collective investment scheme;
- is not an investment crowdfunding intermediary;
- does not operate an investment fund;
- does not hold itself out as a financial adviser;
- does not guarantee financing; and
- does not accept investment monies on behalf of film projects through the current investment-interest functionality.
A project appearing on Chitram does not constitute an offer of securities.
An "Investment Interest", "Backing Interest", follow, project score, verified profile, recommendation, project match or deal-room request does not constitute an investment commitment, securities subscription, investment recommendation or assurance that a transaction is lawful, suitable or commercially viable.
1.4 Eligibility
Unless a specific Chitram service expressly allows otherwise, you must be at least 18 years old and legally capable of entering into a binding contract to create an account.
Profiles relating to minors, including child artists, must only be created or managed under any special process made available by Chitram and by a lawful parent or guardian.
We may request age or identity verification.
1.5 Accounts
You agree to provide accurate, current and complete information.
You are responsible for:
- safeguarding your password;
- maintaining control of your account;
- all activity undertaken through your account;
- promptly notifying us of unauthorised access; and
- keeping your contact information current.
You may not impersonate another person, company, producer, studio, investor, actor or industry professional.
Chitram may suspend accounts that appear false, misleading or fraudulent.
1.6 User Roles
Users may identify themselves as writers, directors, actors, technicians, producers, investors, film lovers or other professional roles.
Role labels are generally user-selected and do not automatically mean that Chitram has professionally certified the user.
A "Verified" indicator only means that Chitram completed the particular verification procedure described for that badge.
It does not constitute an endorsement of competence, financial capability, integrity, creditworthiness, project quality or investment suitability.
1.7 Film Projects
Creators may publish project pages.
Creators are solely responsible for the accuracy and legality of information they publish, including:
- ownership and authorship;
- rights availability;
- project budget;
- attached talent;
- producer involvement;
- financing requirements;
- production status;
- casting information;
- distribution discussions;
- awards;
- audience claims;
- financial information; and
- promotional statements.
Do not claim that any actor, studio, producer, distributor, OTT platform, investor or other party is attached unless you have lawful authority to make that representation.
1.8 Project Scores and Metrics
Chitram may display automated or manually generated indicators including:
- Project Score;
- project completeness;
- audience interest;
- follower counts;
- backing interest;
- engagement metrics;
- investor interest;
- matching percentages; or
- project readiness.
These indicators are informational platform tools only.
They are not:
- credit ratings;
- investment ratings;
- valuations;
- forecasts of box-office performance;
- predictions of profitability;
- financial recommendations; or
- guarantees that a project will be funded, produced or released.
1.9 Audience and Backing Interest
Where Chitram allows a user to indicate that they may be interested in financially supporting a project, that indication is non-binding unless a separate transaction is expressly completed under separate applicable terms.
Current "Backing Interest" functionality is an audience signal.
It does not create:
- an obligation to contribute;
- an investment;
- ownership;
- profit participation;
- debt;
- securities;
- a partnership;
- a producer credit; or
- entitlement to project revenue.
1.10 Investor Interest
Investor Interest features are intended to facilitate introductions and project discovery.
An expression of interest is non-binding.
Any prospective transaction must be independently negotiated between the relevant parties.
Those parties are responsible for ensuring compliance with all applicable:
- Companies Act requirements;
- securities laws;
- private-placement requirements;
- foreign investment requirements;
- tax laws;
- anti-money-laundering requirements;
- contractual requirements; and
- other applicable regulations.
Chitram may prohibit any user from using public project pages to make an unlawful public solicitation of securities.
1.11 Opportunities and Applications
Chitram may permit projects to publish opportunities for actors, directors, producers, technicians, investors and other participants.
Unless expressly stated otherwise, Chitram is not the employer, recruiter, production company, casting agency or contracting party.
Users are responsible for:
- conducting due diligence;
- confirming compensation;
- reviewing contracts;
- verifying working conditions;
- verifying project authenticity; and
- complying with employment, labour and talent regulations.
Never send money merely to obtain an audition, job or casting role unless the legitimate nature of the fee has been independently verified.
1.12 Paid Chitram Services
Chitram may charge for products or services including:
- Pitch Ready;
- Producer Lab;
- premium project tools;
- verification;
- professional tools;
- subscriptions;
- project services; or
- other features.
Prices, taxes and included services will be displayed before purchase.
Payments may be processed through third-party payment providers.
Payment to Chitram for a service does not guarantee:
- selection by a producer;
- investment;
- financing;
- production;
- employment;
- casting;
- distribution;
- commercial success; or
- any particular Chitram Score.
1.13 Artificial Intelligence
Chitram may provide AI-assisted tools for functions such as:
- loglines;
- synopses;
- character descriptions;
- visual concepts;
- pitch text;
- project descriptions;
- opportunity descriptions; or
- recommendations.
AI-generated content may contain inaccuracies, similarities, omissions or inappropriate suggestions.
You remain responsible for reviewing and approving content before publication.
You must not use AI tools to:
- impersonate a real person unlawfully;
- create deceptive deepfakes;
- reproduce protected performances without permission;
- infringe copyright;
- generate illegal sexual content;
- misrepresent attachments or endorsements;
- fabricate producer/investor relationships; or
- deceive users regarding actual events.
Where required, Chitram may label or retain metadata identifying synthetically generated information.
1.14 Intellectual Property
You retain ownership of intellectual property you lawfully own.
By making content public on Chitram, you grant Chitram a worldwide, non-exclusive, royalty-free licence, for the period the content remains available and for reasonable archival/operational purposes, to host, store, reproduce, display, format, transmit and distribute that content solely as reasonably necessary to operate, promote and improve Chitram and the relevant project.
Private documents are not publicly licensed merely because they are uploaded.
You represent that you have all necessary rights to upload your content.
1.15 Chitram Intellectual Property
Chitram and its licensors retain rights in:
- the Chitram name;
- logos;
- software;
- designs;
- interface;
- algorithms;
- database structure;
- Project Score methodology;
- platform content;
- trademarks;
- graphics;
- learning materials; and
- other proprietary assets.
You may not copy, reverse engineer, scrape or commercially exploit these assets except as permitted by law or written agreement.
1.16 Prohibited Conduct
You may not:
- commit fraud;
- misrepresent financing;
- impersonate another person;
- steal or copy scripts;
- publish confidential material without permission;
- solicit unlawful investments;
- promise guaranteed returns;
- manipulate project metrics;
- purchase fake followers;
- post fraudulent casting calls;
- send spam;
- distribute malware;
- circumvent security;
- scrape user data;
- harass users;
- publish unlawful discriminatory content;
- upload non-consensual intimate imagery;
- create unlawful synthetic/deepfake content;
- infringe intellectual property; or
- use Chitram for unlawful financial activity.
1.17 Moderation
Chitram may investigate, restrict, remove, disable, label or suspend content or accounts where reasonably necessary for:
- legal compliance;
- safety;
- fraud prevention;
- intellectual property complaints;
- Community Guidelines enforcement;
- court/government orders; or
- protection of users.
1.18 Third-Party Services
Chitram may contain links or integrations operated by third parties.
We are not responsible for third-party websites, payment providers, cloud services, social platforms or external transactions.
1.19 No Guarantee of Confidentiality for Public Ideas
Do not publish information publicly that you wish to keep confidential.
Public project descriptions may be seen by other users, competitors or industry participants.
Private deal-room materials receive access controls, but no technological system can guarantee absolute confidentiality.
Use contractual NDAs where appropriate.
1.20 Disclaimers
Chitram is provided on an "as available" basis to the maximum extent permitted by law.
We do not guarantee:
- uninterrupted operation;
- project funding;
- investor participation;
- project success;
- script originality;
- commercial success;
- user identity beyond stated verification;
- employment;
- casting;
- distribution; or
- accuracy of user-generated content.
1.21 Limitation of Liability
To the maximum extent permitted by applicable law, Chitram shall not be liable for indirect, consequential, special, exemplary or punitive losses arising from:
- failed films;
- project losses;
- investment losses;
- lost profits;
- failed auditions;
- user disputes;
- unauthorised copying;
- third-party fraud;
- external transactions; or
- reliance on user-generated information.
Nothing limits liability where limitation is prohibited by law.
1.22 Indemnity
You agree, to the extent permitted by law, to indemnify Chitram against claims resulting from:
- your unlawful content;
- your infringement of third-party rights;
- your project;
- your financial representations;
- your contractual disputes;
- your violation of these Terms; or
- your misuse of Chitram.
1.23 Termination
You may stop using Chitram at any time.
Chitram may suspend or terminate access for serious or repeated violations, fraud, security threats or legal requirements.
Certain provisions relating to intellectual property, liability, confidentiality, disputes and outstanding payments survive termination.
1.24 Governing Law
These Terms are governed by the laws of India.
Subject to applicable consumer protections, disputes that cannot be resolved amicably shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat and venue at [CITY, STATE, INDIA], in English, before a sole arbitrator appointed in accordance with applicable law.
Courts at [CITY, STATE, INDIA] shall have jurisdiction for matters not capable of arbitration.
